1. Acceptance of Terms

By accessing or using the MacroSeer platform at www.macroseer.com (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and MacroSeer, Inc., a Delaware corporation (“MacroSeer,” “we,” “us,” or “our”), with its principal place of business at 5351 Main Street, Waitsfield, Vermont 05673.

2. Description of Services

MacroSeer operates a sponsor-funded forecasting contest platform. The Platform enables:

  • Sponsors (campaign creators) to fund and publish forecasting contests tied to publicly verifiable economic, financial, or market data
  • Participants (predictors) to submit numeric forecasts and compete for accuracy-based prizes
  • Operators to administer resolution, scoring, and prize disbursement

MacroSeer is a contest platform. It is not a financial exchange, prediction market, investment advisor, broker-dealer, or gambling operator. Participation does not constitute trading, investing, or wagering.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Be a legal resident of a jurisdiction where participation in skill-based forecasting contests is permitted
  • Not be located in a jurisdiction where your participation would violate applicable law
  • Have the legal capacity to enter into a binding agreement

By using the Platform, you represent and warrant that you meet all eligibility requirements. MacroSeer reserves the right to verify eligibility and to disqualify any user who does not meet these requirements.

4. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Notify MacroSeer immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

MacroSeer reserves the right to suspend or terminate accounts at its discretion.

5. Sponsor Terms

If you create a campaign as a Sponsor, you additionally agree that:

  • You will pay all required campaign fees prior to campaign activation
  • Prize funds collected from you will be held by MacroSeer and disbursed to winners upon resolution
  • You will provide accurate campaign parameters, resolution sources, and question specifications
  • You are responsible for the accuracy of any data or claims you submit as part of campaign creation
  • Campaign fees are non-refundable once the campaign has been activated and opened to participants
  • MacroSeer may reject, modify, or remove campaigns that violate these Terms or applicable law

6. Participant Terms

If you participate as a predictor, you additionally agree that:

  • Your forecasts represent your genuine assessment based on your knowledge and analysis
  • You will not submit forecasts on behalf of another person without their express consent
  • You will not use automated systems, bots, or AI tools to generate or submit forecasts on your behalf without disclosure
  • Prizes are awarded solely based on accuracy as measured against publicly verifiable resolution values
  • MacroSeer’s determination of scores, ranks, and prize awards is final and binding

7. Contests of Skill

MacroSeer contests are contests of skill. Winners are determined by the accuracy of their numeric forecasts relative to officially published resolution values from designated authoritative sources (including but not limited to the U.S. Bureau of Labor Statistics, Federal Reserve Economic Data, U.S. Energy Information Administration, and other government or institutional data publishers).

Skill is demonstrated through the accuracy of a participant’s forecast. Chance does not determine the outcome. Tiebreaking procedures, where applicable, are described in the Official Contest Rules.

8. Prizes and Payouts

  • Prize amounts are set by Sponsors and disclosed at campaign creation
  • Prizes are paid via Stripe Connect to verified winners
  • Winners may be required to provide tax identification information prior to payout
  • MacroSeer will issue applicable tax forms (including IRS Form 1099) for prizes meeting reporting thresholds
  • Prize winnings may be subject to federal, state, and local taxes; winners are solely responsible for all applicable taxes
  • MacroSeer reserves the right to withhold prizes pending identity verification or in cases of suspected fraud or Terms violation

9. Fees

MacroSeer charges platform fees to Sponsors for campaign creation and administration. Fee schedules are disclosed at the time of campaign creation. MacroSeer reserves the right to modify fee structures with reasonable notice.

10. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation
  • Provide false or misleading information
  • Manipulate, collude, or coordinate forecasts with other participants to gain unfair advantage
  • Reverse engineer, scrape, or copy any portion of the Platform
  • Interfere with or disrupt the Platform’s infrastructure
  • Attempt to gain unauthorized access to any account, system, or data
  • Use the Platform for any purpose that could expose MacroSeer to legal liability

MacroSeer reserves the right to disqualify participants and terminate accounts for any violation of these prohibitions.

11. Intellectual Property

All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, data models, scoring algorithms, and software — are owned by MacroSeer, Inc. and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. You may not reproduce, distribute, or create derivative works from any Platform content without express written permission from MacroSeer.

12. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, incorporated herein by reference. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

Forecast data submitted by participants may be aggregated, anonymized, and used by MacroSeer to generate intelligence products, publish consensus signals, and improve the Platform. Individual forecasts may be disclosed to the sponsoring campaign creator in connection with campaign resolution and reporting.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” MACROSEER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

MACROSEER DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY DATA, RESOLUTION VALUES, OR INFORMATION ON THE PLATFORM.

NOTHING ON THE PLATFORM CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MACROSEER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

MACROSEER’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO MACROSEER IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless MacroSeer, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

16. Dispute Resolution

Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Arbitration shall be conducted on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

17. Modifications

MacroSeer reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last Updated” date above and, where appropriate, by notifying registered users via email. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.

18. Termination

MacroSeer may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
